These Terms of Service ("Terms") govern your access to and use of studyedp.com and the EDP Study Tool (the "Service"), operated by Cherry & Elm LLC ("we," "us," or "Cherry & Elm"), a limited liability company organized under the laws of the State of Arkansas.
By creating an account or using the Service, you agree to these Terms. If you do not agree, do not use the Service.
The EDP Study Tool is an online exam preparation platform for the IEDC Economic Development Professional (EDP) certification. The Service includes:
The EDP Study Tool is an independent product and is not affiliated with, endorsed by, or officially connected to the International Economic Development Council (IEDC).
To access the Service, you must create an account with a valid email address and password. You are responsible for maintaining the security of your account and for all activity that occurs under it.
You may not share your account credentials with others. Each license is for individual use only. If we detect account sharing, we reserve the right to suspend or terminate the account without notice or refund.
You must be at least 18 years old to create an account.
Free trial: New accounts receive access to 5 practice questions at no charge. No credit card is required for the trial.
Individual license: A paid license grants one individual user full access to the Service for a period of two (2) years from the date of purchase. The license is non-transferable and may not be resold, shared, or sublicensed.
Bulk licenses: Organizations may purchase multiple license codes at a discounted rate for distribution to program participants. Each code may be redeemed once by a single individual. Bulk license terms are subject to a separate agreement.
Your license is tied to your account. If your account is terminated for violation of these Terms, your license is forfeited without refund.
Payments are processed securely by Stripe. By purchasing a license, you authorize Cherry & Elm LLC to charge your payment method for the amount displayed at checkout.
If you believe you were charged in error, contact us at info@cherryandelm.com within 7 days of the charge and we will review your case.
Cherry & Elm LLC reserves the right to issue refunds at its sole discretion in exceptional circumstances.

All content in the EDP Study Tool — including practice questions, explanations, software, and design — is the property of Cherry & Elm LLC or its licensors and is protected by applicable copyright and intellectual property laws.
Your license grants you the right to use the Service for your own personal exam preparation only. It does not grant you any ownership interest in the content or software.
IEDC manuals and certification materials referenced in the Service are the intellectual property of the International Economic Development Council. Practice questions are original works inspired by IEDC curriculum and are not reproductions of IEDC materials.
The EDP Study Tool is provided for educational and exam preparation purposes only. We make no guarantee that use of the Service will result in passing the IEDC EDP certification exam.
The Service is provided "as is" and "as available" without warranties of any kind, either express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, or non-infringement.
We do not warrant that the Service will be uninterrupted, error-free, or free of viruses or other harmful components.

In no event shall our total liability to you exceed the amount you paid for your license in the twelve (12) months preceding the claim.
We reserve the right to suspend or terminate your account at any time if you violate these Terms. Upon termination, your license and right to access the Service will immediately cease.
You may close your account at any time by contacting us at info@cherryandelm.com. Closing your account does not entitle you to a refund of any unused license period.
We may update these Terms from time to time. When we do, we will update the effective date at the top of this page. If changes are material, we will notify you by email. Your continued use of the Service after any changes constitutes acceptance of the updated Terms.
These Terms are governed by the laws of the State of Arkansas, without regard to its conflict of law provisions. Any disputes arising under these Terms shall be resolved in the courts of Phillips County, Arkansas.
